Terms of Service

This Terms of Service agreement (“Terms”) is between you and Clinic Today 25, Inc., a Delaware corporation (“ClinicToday” or “we”). By accessing or using the ClinicToday platform and related services (“the Service”), you agree to these Terms.

1. Service Description

1.1 ClinicToday is a technology platform that enables healthcare providers to manage patient engagement through their websites. ClinicToday does not provide healthcare services. ClinicToday does not maintain medical records or serve as a repository for protected health information. Chat messages may contain health-related questions, which are processed solely to generate responses and are not used to create medical records.

1.2 ClinicToday does not endorse any provider and does not provide any information about the care you might receive from any provider. You are responsible for verifying provider credentials, specialties, charges, insurance acceptance, and suitability for your needs.

1.3 The Service uses artificial intelligence. AI responses are based on information provided by the healthcare provider and may not be accurate or complete. The Service does not provide medical advice, diagnosis, or treatment.

1.4 The Service may direct you to external websites operated by healthcare providers, including their booking systems and payment pages. Once you leave the ClinicToday platform, you are subject to that provider’s terms and privacy policy. ClinicToday has no liability in connection with your use of any provider’s website or services.

1.5 Features and functionality may change over time as described in our documentation at clinic.today.

2. Eligibility and Permitted Use

2.1 You must be 18 years or older.

2.2 You may use the Service for yourself, a family member, or another individual with whom you have a personal, family, or household relationship. You may not use the Service as part of any business activity.

2.3 You may not: scrape or extract data, reverse engineer the platform, use it for competitive research, impersonate others, interfere with operations, or transmit harmful content.

2.4 We recommend that you do not share detailed health information through the chat. If you do, that information will be processed to generate a response and shared with the provider. For medical discussions, contact providers directly by phone or through their own secure systems.

3. Accounts

3.1 Keep your credentials confidential. You are responsible for all activity under your account.

3.2 You may stop using the Service at any time. We may suspend or terminate access for violations.

4. Fees

4.1 The Service is free for patients.

4.2 Providers pay a monthly subscription as specified in the Provider Agreement. ClinicToday does not process patient payments. All transactions between patients and providers occur outside our platform through the provider’s own systems. Providers set their own charges for their services.

5. Intellectual Property

5.1 ClinicToday retains all rights to the platform, software, algorithms, design, and branding.

5.2 Providers retain ownership of their content. By uploading content, providers grant ClinicToday a license to use it solely to deliver the Service.

5.3 You receive a limited, non-exclusive, revocable license to use the Service.

5.4 Feedback you provide may be used by ClinicToday without compensation.

6. Third-Party Links

The Service may include links to provider websites and other external sites. These links are provided for your convenience. ClinicToday does not endorse any of these sites, or the information, products, or services available at these sites. You agree that ClinicToday is not responsible for these sites and is not liable to you for any issue arising from your use of these sites.

7. Disclaimers and Limitations of Liability

7.1 The Service is provided “AS IS.” ClinicToday makes no representation or warranty whatsoever about the Service, and disclaims any implied warranties, including any implied warranty of merchantability or fitness for a particular purpose.

7.2 ClinicToday is not liable to you for any indirect, special, incidental, punitive, or consequential loss or damage of any kind arising from your use of the Service, even if advised of the possibility of such damages.

7.3 The maximum aggregate liability of ClinicToday, its officers, employees, or other personnel for direct damages shall not exceed fifty dollars ($50.00). You acknowledge that the Service is provided to you at no cost and that this limitation of liability reflects the free nature of the Service.

7.4 You acknowledge that ClinicToday provides the Service in reliance on these limitations. These limitations apply to any liability arising from any cause of action whatsoever, whether in contract, tort, strict liability, or otherwise.

7.5 These limitations do not apply to gross negligence, willful misconduct, or death or personal injury caused by our negligence. Nothing in this section precludes a party from seeking injunctive relief or other equitable remedy.

7.6 Indemnification. You agree to indemnify, defend, and hold harmless Clinic Today 25, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

8. Dispute Resolution

8.1 Governed by Delaware law, without giving effect to any conflicts of law principles.

8.2 You agree that any claim will be brought in courts sitting in Delaware.

8.3 You will not file a lawsuit or other legal action unless you have first contacted ClinicToday and attempted to resolve the dispute through good faith negotiation.

8.4 To the extent permitted by law, both parties waive the right to a trial by jury.

8.5 To the fullest extent permitted by applicable law, you agree to resolve disputes individually and waive the right to participate in class actions, collective proceedings, or representative actions. This waiver applies to claims in any forum, whether in court or arbitration.

9. General

9.1 Severability. If any term is adjudicated invalid or unenforceable, the remaining terms remain in full effect. The invalid term shall be reformed to the limited extent necessary to make it enforceable.

9.2 No Waiver. No right or remedy shall be waived by a course of dealing or delay in exercising it. A waiver on one occasion is not a waiver on any other occasion.

9.3 Assignment. ClinicToday may assign its rights under these Terms in connection with a merger, acquisition, or sale of assets. Your information may be transferred as part of such a transaction.

9.4 Entire Agreement. These Terms are the complete and exclusive agreement between you and ClinicToday regarding your use of the Service and supersede any prior agreement or understanding, whether written or oral.

9.5 Changes. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the changes.
